Hi, I buy and sell businesses regularly off of craigslist/gumtree/facebook. What I want to do is systemise this so my staff have a process to follow. However, my background is in IT - and I can read a P&L and I know how I assess businesses - however I want an MBA/accountant/business major to take the training they've got, and help me build a training guide I can put myself staff through - so they can do it while i'm not around, and create consistent business processes. Remember these are small to medium sized businesses - under $200k - usually under $100k - often near zero as their near bankrupt and it's a clean up job. 1. Financial assessment guide - all the inputs that track the current situation of the business - i.e. revenue, expenses... questions to ask. 2. A spreadsheet that you enter all the information in - and it highlights issues or known leavers - for instance PE ratio. Current asking price, profit guide to payback period - i.e. i want to set parameters that all my deals should pay back within 3 months - so i want something to calculate the payback period - and if it's more than my parameter it highlights red. 3. I want a questionairre about the complexity of the business - the questionnaire should consider most aspects of most businesses - and allow me to rank the question - like current quality of marketing program - 1 = crap 5 = magnificent - i want to give a total ranking - the higher it is, the less likely i'm going to buy it - because if the marketing, sales, inventory, margins, staff are all amazing then what the hell can i change to make it better - i.e. the value has already been squeezed out. 4. a 1 page graphic workflow of where each deal goes - i.e. brainstorm gotchas - then a list of all the gotchas - like compliance, incorrect financial statements, change in fees, change in law - basically all brainstorming starters. 5. basically i need a package that I can push all my staff to go through. I want someone smarter than me to build the base - then i'll provide insights and changes - and we refine it. Price should be all inclusive. This training will run over 4 weeks - so the schedule will be over 4 weeks, with at most 2 days a week - so in assessing a business what are the basics we'd need to learn over these 4 weeks - at this point we have our schedule/list of key learnings. Then from there build out all the detail to get us to the final result - an assesement that says if the business is worth purchasing or not. The package needs to consider what costs can be cut out - maybe the assets are worth more than the purchase price and we can have a quick win with buy and sell the parts.

So basically you need a process workflow for due diligence procedures. Additionally, you need a model to quantitatively assess the business for its strengths and weaknesses using a wide variety of metrics and ratios. Then you need qualitative assessment guideline making use of questionnaires and checklists. Then you want both qualitative and quantitative assessments to be built into a single spreadsheet highlighting all the red flags. Along with all this you need explanatory material to walk your employees through everything. I have a few questions here: >Does your quantitative model also need cash flow projections? How else can we determine payback period? >What would be the presumed existing knowledge of your employees? Because, no matter how great your work flow is, there will always be a lot of expert judgements needed to assess the risks involved. About me? I am a GARP certified Financial Risk manager which is a benchmark qualification in Risk Management. My most relevant experience? In the past: >I have performed due diligence as well as valuation assignments to facilitate acquisition of small to medium sized businesses >l also have the experience of developing Standard Operating Procedures for a few financial entities.
